WCSFA GENERAL MEMBERSHIP MEETING

            PRESENT: WCSFA EXEC: President Clint Budd, Vice-President Garth Spencer, Treasurer Donna McMahon, Secretary R. Graeme Cameron, V-Con Rep. Steve Forty, BCSFA Rep. Darryl Huber.
            PRESENT: about 15 other members of BCSFA.
            BEGAN: circa 7:00 pm.

            President Darryl Huber called the meeting to order and, the BCSFA Executive having already agreed to follow the agenda proposed by Secretary Clint Budd, handed over the gavel to Clint, who then proposed a series of motions on behalf of BCSFA and WCSFA as follows:

            MOTION ONE: That all current BCSFA memberships in good standing be made the same as full WCSFA memberships. Al Betz seconded. Motion passed unanimously.

            MOTION TWO: That the WCSFA policies and procedures draft proposal outlined in pages 16 to 21 in BCSFAzine #237 be accepted by the WCSFA membership as amended, with the exception of appendixes not yet printed, and with the understanding that these policies and procedures, not being part of the WCSFA constitution but rather operating guidelines only, can be amended and/or changed at any future general meeting. Motion passed unanimously.

            MOTION THREE: That the current V-Con 20 Committee be accepted and recognized as a standing sub-committee of WCSFA. Al Betz added that we had a moral obligation to accomplish this. Darryl Huber seconded. Motion passed unanimously.

            MOTION FOUR: That those previously counted as lifetime members of BCSFA now be accepted as full members of WCSFA for life. Motion passed with three abstentions (by Al Betz and Steve Forty - lifetime members, and by Nico Iormetti, BCSFA treasurer).

            MOTION FIVE: That the former BCSFA executive now continue as the executive of the WCSFA standing sub-committee known as BCSFA, on the understanding the position of 'President' is now known as 'Chair,' and the position of 'Vice-President' is now known as 'Vice-Chair.' (The reason being, WCSFA as a registered society cannot have more than one President, and Clint Budd already being President of WCSFA, the head of any standing sub-committee -- such as BCSFA -- must be called something else.) Al Betz seconded. Motion passed unanimously.

            Clint Budd then issued a formal call for bids on V-Con 21 (which must meet the bid requirements and procedures of section 7 of WCSFA policies and procedures on page 17 & 18 of BCSFAzine #237) to be submitted in writing not later than two weeks before the BCSFA/WCSFA meeting of April 17th (ie: circa April 2nd, 3rd or 4th), so that WCSFA Exec will have time to study the bid/s and formulate their recommendations for the April 17th meeting at which time the membership will vote on the bid/s. A meeting between the WCSFA Exec and the bid committee will be arranged sometime in the two weeks subsequent to the submission and prior to the vote in order to discuss the bid in detail. It is our intention that a successful bid be established prior to V-Con 20, so that the V-Con 21 ConCom can recruit memberships at V-Con 20. If no bid is forthcoming, late bids will be considered, but may miss the opportunity for membership recruitment V-Con 20 represents.
            Donna McMahon reported that WCSFA has roughly $800 and owes about 3 times that amount. WCSFCCA being defunct, the WCSFCCA account will be closed and an account under WCSFA's name will be opened.
            The meeting was then adjourned circa 7:30 pm so that an auction to raise funds for BCSFA could then get underway.

SOME IMPLICATIONS OF THE MOTIONS PASSED:
            Well, for one thing, all BCSFAns are now WCSFAns, inasmuch as the implicit intention of MOTION ONE is to convert BCSFA membership to WCSFA membership, and be listed as such on the membership rolls of WCSFA sent to Victoria. Changes in membership rates and payment procedures are forthcoming. At the same time, most WCSFAns will be involved with WCSFA principally through the activities of its standing sub-committee BCSFA and are thus entitled to call themselves BCSFAns as well.
            As per section 6 of WCSFA policies and procedures, BCSFA operates independently. BCSFA cannot have a constitution, as a registered society can have but one constitution, that which is registered in Victoria, but just as WCSFA has its own 'rules' for day to day operations (WCSFA POLICIES & PROCEDURES) which are valid providing they do not conflict with the WCSFA constitution, so BCSFA can follow whatever 'rules' or 'procedures' it deems suitable, providing they do not conflict with the registered constitution or WCSFA policies and procedures.
            In MOTION THREE above, the current V-Con 20 committee is now a WCSFA standing sub-committee. This applies only to those members of the V-Con Committee who were members of BCSFA in good standing at the time of the vote. All such V-Con 20 ConCom are now full WCSFA members. However, all V-Con 20 ConCom who were not BCSFA members (and thus not converted to WCSFAns by MOTION ONE) remain outside WCSFA's legal protection. For, as outlined in section 3.B. of WCSFA Policies & Procedures, WCSFA's legal responsibility for WCSFA-sponsored convention committees only extends to those members of the committee who are WCSFA members. Non-WCSFA members are not covered. So section 3.B. allows for an ASSOCIATE WCSFA MEMBERSHIP, in which the individual becomes a member of WCSFA, but does not receive a subscription to BCSFAzine or the use of BCSFA privileges. In other words, for a nominal fee (yet to be determined) one can belong to WCSFA and serve on the V-Con sub-committee under WCSFA's legal protection without having (and paying for) BCSFA privileges.
(To clarify, at the BCSFA/WCSFA meeting on April 17th for example, these associate WCSFA members cannot vote on any BCSFA business, but can vote on the V-Con 21 bid/s.) It is recommended that non-WCSFA members of the convention sub-committee purchase an ASSOCIATE WCSFA MEMBERSHIP in order to be covered by the umbrella of WCSFA legal protection. (Fee rate hopefully to be announced next issue...probably around $4.)
            Further note that V-Con 20 ConCom are not bound by WCSFA policies and procedures (it would be unfair to make the WCSFA PP retroactive) though their cooperation is appreciated. Future V-Con ConComs will be bound by WCSFA PP, or else their bids will not be accepted.
            Further, further note that the above paragraph does not negate the paragraph previous to it. Having to belong to WCSFA to enjoy its legal protection is not a matter of WCSFA policy, but rather a point of law. We have no choice. Hence V-Con 20 ConCom are bound by this simple fact: no WCSFA membership = no legal protection.
            Further, further, further note that writing these minutes under the influence of the flu and assorted medicinal drugs is driving me slightly mad. From now on I shall be the God-Emperor-Editor, and shall be paid in gold.... yeah, that's the ticket...yee shall pay me my weight in gold at the next AGM. I'll start eating more peanut butter sandwiches immediately....
